Mystery company at heart of $53M potash mine lawsuit

HB Construction Company 'purchased' lawsuit after Comstock Canada became insolvent

Five years ago an unknown Alberta-registered company, HB Construction, picked up some land, vehicles and equipment following the collapse of another company, Comstock Canada Ltd. of Burlington, Ont.

Total cost: $4.5 million.

Thrown into the deal at no extra charge was ownership of a lawsuit Comstock had earlier launched against a couple of big players in Canada's corporate world: PotashCorp of Saskatchewan and AMEC Americas Inc.

The suit relates to disputes that arose between Comstock and those companies in 2009-2010 during construction of PotashCorp's now-closed mine in Penobsquis.

HB, which had nothing whatsoever to do with the mine project, decided to continue the lawsuit, which is now at trial in a Saint John courtroom.

If successful the company could see a $53 million payday.

While the suit is being argued by a five-person legal team led by Bay Street lawyer Howard Wise, HB Construction Company itself is a mystery.

Asked about the HB purchase of the lawsuit, Wise said the details would come out in the trial.
Attempts by CBC News this week to reach the company were unsuccessful.

The Calgary corporate headquarters listed on 7th Avenue SW is home to a law firm.

The company left its quarters in Edmonton, at 2544 Ellwood Dr. SW, about five years ago, according to the commercial realtor now listing the suite.

Phone numbers in both cities are no longer active.

There was no response to messages left by email with company president Geoffrey Birbeck.

The company's legal team in Saint John also has not yet responded.

HB Construction was registered in November 2013 the same month it purchased the Comstock assets.
Its last annual return was filed in 2017. The 2018 return is listed by the Alberta Corporate Registry as outstanding.

The registry lists HB's parent as Williams Companies International Holdings B.V. in Amsterdam. A woman answering the phone there took CBC's contact information.

HB's lack of profile in Canada is a factor in the case.

"HB Construction is not a resident of New Brunswick and has no assets in the Province," states the pre-trial brief filed in the PotashCorp case by co-defendant AMEC.

"Its presence in Canada is uncertain. There was no evidence HB Construction had assets sufficient to pay any costs awarded against it."

Had to post bonds

The concern over whether HB is in a position to pay damages if it loses the case led Justice William Grant of the Court of Queen's Bench to order the company to post bonds of $2.8 million as security to cover defendant PotashCorp and/or AMEC's costs.

Comstock was hired during construction of the Picadilly potash mine in August 2009 to install equipment and instrumentation inside a large on-site building known as the "compaction plant."

The company was to be paid $36 million.

On July 21, 2010, Potashcorp terminated the contract. In its court brief, the company says it "lost confidence in Comstock's ability or intention to complete the project in a timely or cost-effective manner."

Suit has no effect on closed mine

In June 2013, at the time it made a filing under the Bankruptcy and Insolvency Act, Comstock was one of Canada's biggest construction companies, with well over 1,000 union and non-unionized workers.

It owed more than $75 million to creditors.

The case will have no bearing on the future of the Picadilly mine, which was closed permanently by PotashCorp, which has rebranded itself Nutrien.

Forty days have been set aside for the trial.

PotashCorp suit begins over construction problems at mine near Sussex

Comstock Canada Ltd. seeks $53 million in suit over mine that is now closed

Comstock Canada Ltd. alleges breach of contract in its lawsuit against Nutrien, formerly PotashCorp, and Amec Foster Wheeler. The company was hired to help build the Picadilly mine near Sussex. (CBC)

More than 40 file boxes of documents were stacked in a Saint John courtroom as 10  lawyers representing three companies settled in Monday for the opening of what is expected to be an eight-week trial over construction practices at the former PotashCorp mine in Penobsquis, near Sussex.

The case will have no impact whatsoever on the future of the mine, where operations were suspended in January 2016, about 15 months after the $2.2 billion dollar facility went into production.
About 430 direct jobs were lost.

The company, now named Nutrien, announced the permanent closure of its Picadilly mine in November 2018.

The lawsuit was launched during construction in 2010 after PotashCorp terminated Comstock Canada Ltd.'s contract.

Comstock launched a $53 million suit against PotashCorp and engineering management company Amec Foster Wheeler.

It alleges breach of contract. The company claimed in court documents that it couldn't complete the work on time or on budget because PotashCorp and Amec both breached the contract by adding to the scope of work and changing the designs.

Comstock lawyer Howard Wise says evidence will show his client could not finish its work on time because of design changes and delays caused by others. (Goodmans LLP)

"Design changes started early on the project," Comstock lawyer Howard Wise said in his opening remarks to Justice Deborah Hackett.

"You will hear about schedules and changes to those schedules."

"Comstock could not finish the contract as originally agreed."

Wise told the court that evidence will be presented to show that design changes changed the scope and the cost of the work, and that those changes continued even after Constock's termination in July 2010.

Wise said other "pieces of the puzzle" were required to be in place for Comstock's workers to do their job.

But the building was not enclosed, as agreed beforehand, and two large 10-tonne  and 25-tonne cranes were also not available when needed.

Comstock Canada filed for insolvency in 2014 under the Companies' Creditors Arrangement Act, but the Comstock name is still being used in the suit.

None of the allegations have been proven in court.

RCMP probes tainted blood with the FBI
Variety of matters discussed about prison-plasma imports
Mark Kennedy
The Ottawa Citizen

The RCMP and FBI have held discussions about how contaminated plasma from
American prisons was shipped to Canada in the 1980s, says a spokesman for
Canadian tainted-blood victims.

Erma Chapman, president of the Canadian Hemophilia Society, said she was
given
this information last month by a member of a special task force of Mounties
conducting a criminal investigation into the tainted-blood scandal.

Ms. Chapman said she was informed by the task force's "victim liaison
officer"
that Mounties had travelled to the United States and met with
representatives
of the FBI.

She says she was told they discussed a variety of matters, including how
plasma
was collected from inmates in Arkansas and Louisiana prisons in the early
'80s
and sold to a blood broker in Montreal.

"My understanding is they went to discuss this with the FBI,"said Ms.
Chapman.
"I think it was more to provide the FBI with information than the other way
around."

There's no evidence to indicate the FBI has begun its own criminal probe,
but
Ms. Chapman said it's encouraging to learn that at least the U.S. police
force
has been made aware of the prison-plasma fiasco.

Next week, Canadian tainted-blood victims will travel to Washington to hold
a
news conference. They will demand a special investigation by the U.S.
Justice
Department into how they got bad blood from American prisons.

RCMP Cpl. Gilles Moreau confirmed that the Mounties have, as part of their
year-old probe, met with the FBI. But he could not elaborate because to do
so
might "jeopardize"the investigation.

"We don't get into specifics. What we can say is, yes, we have gone to the
States, and when we go there, we do talk to the authorities there because we
have to notify them that we are talking to people in their jurisdictions."

Mr. Moreau said the Mounties, as a matter of policy, can't even specify
which
aspects of the tainted-blood tragedy they are examining, beyond saying "we
are
looking at all aspects of the blood distribution system."

The prison-plasma story is one of the many "aspects" in the contamination of
the Canadian blood supply with HIV and hepatitis C. It has attracted new
interest among victims and the U.S. media since the Citizen began a series
of
investigative reports last September.

The Citizen revealed that the firm that collected the plasma from inmates in
the Arkansas prison had links to U.S. President Bill Clinton, who was
governor
of the state in the 1980s.

The RCMP criminal probe, established in the wake of the Krever report on the
tainted-blood tragedy, has been comprehensive. The task force has mushroomed
to
24 full-time staff.

So far, investigators have interviewed about 600 people and travelled to
countries such as the U.S., Germany and the Netherlands. Of those
interviews,
100 have been tape-recorded so the evidence can be compared with other
interviews and documents.

The team has amassed more than 30,000 documents and is using a special
computer system to zero in on key information. The Mounties are still
calling on people who have not yet come forward to call a toll-free
tips line: 1-888-530-1111.

Mr. Moreau said the RCMP will conduct a timely but thorough investigation.
"Of
course, we can't charge people for crimes that occurred in the States
because
our jurisdiction is in Canada."

That is exactly why victims want the FBI involved.

Ms. Chapman said she hopes the Feb. 24 news conference in Washington will
spark
a "groundswell demand for information. It's going to hinge on the extent to
which the American public perceives this as a problem.

"There are so many questions to be asked. People have tried very much to not
look at that seamier side of the blood business."

the exploitation of the Maritimes’ gas and oil reserves and NAFTA, to

Raising a Little Hell- Lively Debate Provokes Crowd

By Erin Hatfield

"If you don't like what you got, why don't you change it? If your
world is all screwed up, rearrange it."

The 1979 Trooper song Raise a Little Hell blared on the speakers at
the 8th Hussars Sports Center Friday evening as people filed in to
watch the Fundy candidates debate the issues. It was an accurate, if
unofficial, theme song for the debate.

The crowd of over 200 spectators was dwarfed by the huge arena, but as
they chose their seats, it was clear the battle lines were drawn.
Supporters of Conservative candidate Rob Moore naturally took the blue
chairs on the right of the rink floor while John Herron's Liberalswent
left. There were splashes of orange, supporters of NDP Pat Hanratty,
mixed throughout. Perhaps the loudest applause came from a row towards
the back, where supporters of independent candidate David Amos sat.

The debate was moderated by Leo Melanson of CJCW Radio and was
organized by the Sussex Valley Jaycees. Candidates wereasked a barrage
of questions bypanelists Gisele McKnight of the Kings County Record
and Lisa Spencer of CJCW.

Staying true to party platforms for the most part, candidates
responded to questions about the gun registry, same sex marriage, the
exodus of young people from the Maritimes and regulated gas prices.
Herron and Moore were clear competitors, constantly challenging each
other on their answers and criticizing eachothers’ party leaders.
Hanratty flew under the radar, giving short, concise responses to the
questions while Amos provided some food for thought and a bit of comic
relief with quirky answers. "I was raised with a gun," Amos said in
response to the question of thenational gun registry. "Nobody's
getting mine and I'm not paying 10 cents for it."

Herron, a Progressive Conservative MP turned Liberal, veered from his
party'splatform with regard to gun control. "It was ill advised but
well intentioned," Herron said. "No matter what side of the house I am
on, I'm voting against it." Pat Hanratty agreed there were better
places for the gun registry dollars to be spent.Recreational hunters
shouldn't have been penalized by this gun registry," he said.

The gun registry issues provoked the tempers of Herron and Moore. At
one point Herron got out of his seat and threw a piece of paper in
front of Moore. "Read that," Herron said to Moore, referring to the
voting record of Conservative Party leader Steven Harper. According to
Herron, Harper voted in favour of the registry on the first and second
readings of the bill in 1995. "He voted against it when it counted, at
final count," Moore said. "We needa government with courage to
register sex offenders rather than register the property of law
abiding citizens."

The crowd was vocal throughout the evening, with white haired men and
women heckling from the Conservative side. "Shut up John," one woman
yelled. "How can you talk about selling out?" a man yelled whenHerron
spoke about his fear that the Conservatives are selling farmers out.

Although the Liberal side was less vocal, Kings East MLA Leroy
Armstrong weighed in at one point. "You’re out of touch," Armstrong
yelled to Moore from the crowd when the debate turned to the cost of
post-secondary education. Later in the evening Amos challenged
Armstrong to a public debate of their own. "Talk is cheap. Any time,
anyplace," Armstrong responded.

As the crowd made its way out of the building following the debate,
candidates worked the room. They shook hands with well-wishers and
fielded questions from spectators-all part of the decision-making
process for the June 28 vote.

Cutline – David Amos, independent candidate in Fundy, with some of his
favourite possessions—motorcycles.

McKnight/KCR

The Unconventional Candidate

David Amos Isn’t Campaigning For Your Vote, But….

By Gisele McKnight

FUNDY—He has a pack of cigarettes in his shirt pocket, a chain on his
wallet, a beard at least a foot long, 60 motorcycles and a cell phone
that rings to the tune of "Yankee Doodle."

Meet the latest addition to the Fundy ballot—David Amos.

The independent candidate lives in Milton, Massachusetts with his wife
and two children, but his place of residence does not stop him from
running for office in Canada.

One has only to be at least 18, a Canadian citizen and not be in jail
to meet Elections Canada requirements.

When it came time to launch his political crusade, Amos chose his
favourite place to do so—Fundy.

Amos, 52, is running for political office because of his
dissatisfaction with politicians.

"I’ve become aware of much corruption involving our two countries," he
said. "The only way to fix corruption is in the political forum."

The journey that eventually led Amos to politics began in Sussex in
1987. He woke up one morning disillusioned with life and decided he
needed to change his life.

"I lost my faith in mankind," he said. "People go through that
sometimes in midlife."

So Amos, who’d lived in Sussex since 1973, closed his Four Corners
motorcycle shop, paid his bills and hit the road with Annie, his 1952
Panhead motorcycle.

"Annie and I rode around for awhile (three years, to be exact)
experiencing the milk of human kindness," he said. "This is how you
renew your faith in mankind – you help anyone you can, you never ask
for anything, but you take what they offer."

For those three years, they offered food, a place to sleep, odd jobs
and conversation all over North America.

Since he and Annie stopped wandering, he has married, fathered a son
and a daughter and become a house-husband – Mr. Mom, as he calls
himself.

He also describes himself in far more colourful terms—a motorcyclist
rather than a biker, a "fun-loving, free-thinking, pig-headed
individual," a "pissed-off Maritimer" rather than an activist, a proud
Canadian and a "wild colonial boy."

Ironically, the man who is running for office has never voted in his life.

"But I have no right to criticize unless I offer my name," he said.
"It’s alright to bitch in the kitchen, but can you walk the walk?"

Amos has no intention of actively campaigning.

"I didn’t appreciate it when they (politicians) pounded on my door
interrupting my dinner," he said. "If people are interested, they can
call me. I’m not going to drive my opinions down their throats."

And he has no campaign budget, nor does he want one.

"I won’t take any donations," he said. "Just try to give me some. It’s
not about money. It goes against what I’m fighting about."

What he’s fighting for is the discussion of issues – tainted blood,
the exploitation of the Maritimes’ gas and oil reserves and NAFTA, to
name a few.

"The political issues in the Maritimes involve the three Fs – fishing,
farming and forestry, but they forget foreign issues," he said. "I’m
death on NAFTA, the back room deals and free trade. I say chuck it
(NAFTA) out the window.

NAFTA is the North American Free Trade Agreement which allows an
easier flow of goods between Canada, the United States and Mexico.

Amos disagrees with the idea that a vote for him is a wasted vote.

"There are no wasted votes," he said. "I want people like me,
especially young people, to pay attention and exercise their right.
Don’t necessarily vote for me, but vote."

Although…if you’re going to vote anyway, Amos would be happy to have
your X by his name.

"I want people to go into that voting booth, see my name, laugh and
say, ‘what the hell.’"

Hepatitis C victims' $1-billion deal completed

DENNIS BUECKERT OTTAWA — Canadian Press
Published Saturday, Dec. 16, 2006 12:00AM EST

Canada's tainted-blood tragedy has taken a major step toward closure
with completion of a $1-billion federal compensation deal for the
so-called forgotten victims.

An agreement, which must still be approved by courts in several
provinces, will provide one-time payments for about 5,000 people who
were infected with the hepatitis C virus before 1986 or after 1990.

"We are working as quickly as possible to provide compensation,"
Health Minister Tony Clement said in a news release yesterday.

The victims are called forgotten because they were excluded from a
previous $1.1-billion federal-provincial compensation package
announced in 1989.

Mike McCarthy, lead plaintiff in an Ontario class-action lawsuit on
behalf of the group, praised Mr. Clement and the Conservative
government for what he termed a fair and equitable deal.

Former health minister Allan Rock insisted there was nothing the
government could have done to protect the blood supply from hepatitis
C before 1986, and therefore the government was not liable.

That position became hard to defend when evidence surfaced that tests
capable of detecting hepatitis C with reasonable accuracy were
available long before 1986.

In 1998 all opposition parties voted to extend compensation to the
excluded victims but former prime minister Jean Chrétien declared it a
confidence matter and defeated the motion.

Prime Minister Stephen Harper said in July his government would
provide compensation to the pre-1986 and post-1990 victims, and
lawyers have since been working out details.

Peter Roy, a lawyer involved in the negotiations, said victims or
their survivors will receive one-time payments based on factors
including age at the time of infection, lost earnings and illness
severity.

"It's the most complex settlement I've worked on in 31 years of
practice," Mr. Roy said.

Mr. McCarthy said the provinces have not contributed to the new
settlement, and litigation against them will continue.

VANCOUVER, June 16, 2016 /CNW/ - Most Canadians thought the tainted
blood tragedy had been fully addressed. But there are hundreds of
tainted blood victims who are still waiting for the compensation that
was promised to them by the Government of Canada. They will be closely
following a court hearing taking place next week (June 20-22, 2016) in
Toronto, Ontario. A joint hearing of the courts of Ontario, Quebec and
British Columbia will consider submissions on how to allocate a $250
million surplus from the 1986-1990 Hepatitis-C settlement fund.
Meanwhile, more than 300 victims in the pre-1986/post-1990 Hepatitis-C
settlement group have not been paid due to a $65 million shortfall in
their settlement fund.

The following spokespersons are able to provide their views on the matter:

RCMP under fire for lack of mental health help for officers

By Holly Moore, CBC News Posted: Nov 06, 2013 4:00 AM CT

http://www.cbc.ca/news/canada/manitoba/rcmp-under-fire-for-lack-of-mental-health-help-for-officers-1.2416083

"Perchaluk said her husband attempted suicide twice in the years
following his exposure to hepatitis C-tainted blood. The RCMP knew how
sick he was, but they wouldn’t intervene, she added."

"RCMP Assistant Commissioner Gilles Moreau says the police force is
looking at strengthening existing programs. There is a strong
leadership commitment to addressing mental health issues, he added."

RCMP probes tainted blood with the FBI
Variety of matters discussed about prison-plasma imports
Mark Kennedy
The Ottawa Citizen

The RCMP and FBI have held discussions about how contaminated plasma from
American prisons was shipped to Canada in the 1980s, says a spokesman for
Canadian tainted-blood victims.

Erma Chapman, president of the Canadian Hemophilia Society, said she was given
this information last month by a member of a special task force of Mounties
conducting a criminal investigation into the tainted-blood scandal.

Ms. Chapman said she was informed by the task force's "victim liaison officer"
that Mounties had travelled to the United States and met with representatives
of the FBI.

She says she was told they discussed a variety of matters, including how plasma
was collected from inmates in Arkansas and Louisiana prisons in the early '80s
and sold to a blood broker in Montreal.

"My understanding is they went to discuss this with the FBI,"said Ms. Chapman.
"I think it was more to provide the FBI with information than the other way
around."

There's no evidence to indicate the FBI has begun its own criminal probe, but
Ms. Chapman said it's encouraging to learn that at least the U.S. police force
has been made aware of the prison-plasma fiasco.

Next week, Canadian tainted-blood victims will travel to Washington to hold a
news conference. They will demand a special investigation by the U.S. Justice
Department into how they got bad blood from American prisons.

RCMP Cpl. Gilles Moreau confirmed that the Mounties have, as part of their
year-old probe, met with the FBI. But he could not elaborate because to do so
might "jeopardize"the investigation.

"We don't get into specifics. What we can say is, yes, we have gone to the
States, and when we go there, we do talk to the authorities there because we
have to notify them that we are talking to people in their jurisdictions."

Mr. Moreau said the Mounties, as a matter of policy, can't even specify which
aspects of the tainted-blood tragedy they are examining, beyond saying "we are
looking at all aspects of the blood distribution system."

The prison-plasma story is one of the many "aspects" in the contamination of
the Canadian blood supply with HIV and hepatitis C. It has attracted new
interest among victims and the U.S. media since the Citizen began a series of
investigative reports last September.

The Citizen revealed that the firm that collected the plasma from inmates in
the Arkansas prison had links to U.S. President Bill Clinton, who was governor
of the state in the 1980s.

The RCMP criminal probe, established in the wake of the Krever report on the
tainted-blood tragedy, has been comprehensive. The task force has mushroomed to
24 full-time staff.

So far, investigators have interviewed about 600 people and travelled to
countries such as the U.S., Germany and the Netherlands. Of those interviews,
100 have been tape-recorded so the evidence can be compared with other
interviews and documents.

"Of
course, we can't charge people for crimes that occurred in the States because
our jurisdiction is in Canada."

That is exactly why victims want the FBI involved.

Ms. Chapman said she hopes the Feb. 24 news conference in Washington will spark
a "groundswell demand for information. It's going to hinge on the extent to
which the American public perceives this as a problem.

"There are so many questions to be asked. People have tried very much to not
look at that seamier side of the blood business."
